Iron Noodle provides AI-powered automation solutions for law firms, including but not limited to:

• NB Operating System (NB OS) — AI operating system for law firm operations
• AI Voice Agents — automated phone handling and lead qualification
• AI Concierge — video and voice intake automation
• GetDocs.ai — automated document collection and processing
• Cogent CRM — customer relationship management platform
• Profit Blueprint — strategic consulting engagement
• ROI Calculator and other diagnostic tools

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice.

3. User Accounts & Access

Certain services may require you to create an account or provide credentials. You are responsible for maintaining the confidentiality of your account information and for all activity under your account. Notify us immediately of any unauthorized use.

4. Payment Terms

• Pricing, payment schedules, and refund terms are specified in individual service agreements, proposals, or invoices.
• All fees are in US dollars unless otherwise stated.
• Late payments may incur interest at 1.5% per month or the maximum rate permitted by law, whichever is less.
• We reserve the right to suspend services for accounts with outstanding balances exceeding 30 days past due.

5. SMS & Text Messaging Consent (A2P Compliance)

By submitting a form on our website or opting in to communications, you may consent to receive automated text messages from Iron Noodle Technologies LLC and its affiliated brands. The following terms apply:

• Consent: By providing your phone number and checking any SMS opt-in box, you expressly consent to receive automated text messages at the number provided. This consent is not required as a condition of purchasing any goods or services.
• Message Types: Appointment reminders, service notifications, follow-up communications, and marketing messages (if separately opted in).
• Frequency: Message frequency varies. Expect 1-5 messages per week.
• Costs: Message and data rates may apply. Contact your wireless carrier for details.
• Opt-Out: Reply STOP to any message to unsubscribe. You will receive one final confirmation.

6. Intellectual Property

All content, software, trademarks, logos, and intellectual property on our website and in our products are owned by Iron Noodle Technologies LLC or its licensors. You may not reproduce, distribute, modify, or create derivative works from our content without prior written consent.

Client-specific configurations, data, and content created within our platforms remain the property of the client. Iron Noodle retains ownership of the underlying platform, code, and technology.

7. Acceptable Use

You agree not to:

• Use our services for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to gain unauthorized access to our systems, networks, or data
• Interfere with or disrupt the operation of our services
• Reverse engineer, decompile, or disassemble any part of our software
• Use our services to send spam, unsolicited communications, or violate anti-spam laws (CAN-SPAM, TCPA)
• Misrepresent your identity or affiliation with any person or entity

8. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information exchanged during the course of our business relationship. This includes but is not limited to business strategies, client data, technical specifications, and pricing information. This obligation survives termination of the relationship.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IRON NOODLE TECHNOLOGIES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OUR SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, DATA, OR BUSINESS OPPORTUNITIES.

Our total aggregate liability for any claim arising from or related to our services shall not exceed the total fees paid by you to Iron Noodle in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee that our services will be uninterrupted, error-free, or secure.

Results described in case studies, testimonials, and marketing materials are illustrative and not guaranteed. Individual outcomes depend on many factors specific to each law firm.

11. Indemnification

You agree to indemnify, defend, and hold harmless Iron Noodle Technologies LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

12. Termination

Either party may terminate the service relationship in accordance with the terms of the applicable service agreement. We may immediately suspend or terminate access to our services if you violate these Terms. Upon termination, your right to use our services ceases, and we may delete your data after a reasonable retention period (typically 30 days) unless otherwise required by law.

13. Dispute Resolution

• Governing Law: These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles.
• Jurisdiction: Any disputes shall be resolved in the state or federal courts located in Maricopa County, Arizona.
• Informal Resolution: Before filing any claim, you agree to attempt to resolve the dispute informally by contacting us at noodles@ironnoodle.com. We will attempt to resolve the dispute within 30 days.

14. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on our website. Continued use of our services after changes constitutes acceptance of the updated Terms.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Iron Noodle Technologies LLC regarding your use of our services.
